What is a sales contract?

When we reference sales contracts, we’re looking at it in the context of selling and delivering physical goods.
A sales contract is a formal agreement between a seller and a buyer laying out the terms and conditions for which the sale of goods is carried out.
The sales agreement aims to capture information about the types of goods, payment terms, delivery commitments, liability, and of course, signatures from sellers and customers, which make the document legally binding.

Why is a sales agreement important?

Product businesses by nature are resource-heavy—in that it often requires a significant investment to source, develop, and distribute goods to buyers.
With such a responsibility, there are implications for not using a sales agreement contract. Let’s look at the three examples below.

1. Record keeping

Tracking product transactions in email and phone communications can get messy quickly. Buyers change their minds, and sellers sometimes make mistakes with quantities or product variations.
Mismanaged orders are a recipe for conflict and lost business.
A sales contract, together with invoices and purchase orders, acts as a point of reference for buyers and sellers, keeping orders consistent on both sides.

2. Cashflow

Sellers will typically have payment terms ranging between 7 and 30 days. As sellers make an investment upfront to develop goods, they’re out of pocket until they receive payment from buyers.
However, some buyers may be consistently late in paying invoices, creating more receivables in your books, and hurting your cash flow.
A good sales contract template will add a penalty fee for late payments to reduce outstanding invoices and improve overall cash flow.

3. Accountability

It’s an exciting time to establish new buyer accounts. New sales mean more revenue and hopefully, repeat business.
However, getting the deal is just the beginning of the relationship. You need to follow through on delivering products that do what you say they’re going to do as a seller.
Using sales agreements will keep you accountable for running a better business. For example, to limit damages, you need quality control measures and robust packaging processes. You’re incentivized to maintain the availability of goods and to deliver the product as quickly as possible to buyers.

How to use a sales contract template to grow your business

You’ve done the hard work of sourcing or producing a quality product. You’ve prospected for new buyers, gone to trade shows, handed out samples, and now you finally have an interest. Congratulations!
However, despite your best efforts, what matters is getting the sale for that first order when it comes down to it.
A signed copy of your sales contract is what represents your business’s most critical function—getting the deal!
You can use the number of signed agreements as one of the core key performance indicators in your business. You can also use your sales contract to forecast future business, which gives you a feeling of certainty and confidence.
What’s more, your sales contract template challenges you to build a lead generation system around securing more signed agreements. This might mean hiring a talented salesforce, improving product quality, investing in advertising, improving logistics, or any other strategies to get more signed condiments landing on your desk.
Then once you have a signed sales agreement, you can start measuring how successful your buyers are. If you’re selling directly to the customer, what type of feedback are you receiving? If you’re selling to a reseller, are they selling your goods successfully? Or do you need to provide them with more support to grow their revenue?
Securing the deal is essential, but maintaining customer relationships is just as important. Use your sales contract template to measure how many buyers you have and your customer’s success.
